Canonical XML Processor Software Licence and Limited Warranty

This is legal agreement between you (either an individual or an entity) and ElCel Technology Limited. By using and installing Canonical XML Processor, you are agreeing to become bound by the terms of this agreement. If you do not wish to agree to the terms of this Licence Agreement, do not download and install the Canonical XML Processor software.

YOU AGREE THAT YOUR USE OF THE PROGRAM ACKNOWLEDGES THAT YOU HAVE READ THIS LICENCE, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE OR INSTALL THE Canonical XML Processor SOFTWARE.

GRANT OF LICENCE. ElCel Technology Limited, as Licensor, grants to you, the Licensee, a non-exclusive right to use the Canonical XML Processor software in accordance with the terms contained in this licence.

OWNERSHIP OF SOFTWARE. ElCel Technology Limited retains the copyright, title and ownership of the Canonical XML Processor software and the written materials regardless of the form or media in or on which the original and other copies may exist.

COPYRIGHT. The Canonical XML Processor software is owned by ElCel Technology Limited and is protected by United Kingdom Copyright laws and international treaty provisions.

USAGE. The Canonical XML Processor software may be downloaded and used at no charge.

TRANSFERS. You may transfer copies of the Canonical XML Processor software from one computer to another. You may make copies for backup and security purposes. You must not transfer or distribute copies of the Canonical XML Processor to other individuals or organizations. You may not re-sell Canonical XML Processor.

TERM. You may use the Canonical XML Processor software without restriction of term. This Licence will terminate automatically without notice from ElCel Technology Limited if you fail to comply with any provision of this Licence. Upon termination you shall destroy the written materials and all copies of the Canonical XML Processor software.

MODIFICATION. You may not modify, reverse-engineer, disassemble or otherwise alter the distributed binary code of the Canonical XML Processor software.

WARRANTY. THE Canonical XML Processor SOFTWARE AND ACCOMPANYING DOCUMENTATION (INCLUDING INSTRUCTIONS FOR USE) ARE PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND. ElCel Technology Limited DISCLAIMS ALL WARRANTIES ON THIS PROGRAM INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS. FURTHER, ElCel Technology Limited DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF USE, OF THE SOFTWARE OR DOCUMENTATION IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE Canonical XML Processor SOFTWARE IS ASSUMED BY YOU. IF THE SOFTWARE OR DOCUMENTATION ARE DEFECTIVE YOU, AND NOT ElCel Technology Limited OR ITS DEALERS, DISTRIBUTORS, AGENTS, OR EMPLOYEES, ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

THE ABOVE IS THE ONLY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, THAT IS MADE BY ElCel Technology Limited, ON THIS ElCel Technology Limited PRODUCT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ElCel Technology Limited, ITS DEALERS, DISTRIBUTORS, AGENTS OR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY AND YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE.

NEITHER ElCel Technology Limited NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THIS PRODUCT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE SUCH PRODUCT EVEN IF ElCel Technology Limited HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Should any other warranties be found to exist, such warranties shall be limited in duration to sixty (60) days following the date of delivery to you. In no event will ElCel Technology Limited's liability for any damages to you or any other person exceed the amount paid for the licence to use the Canonical XML Processor software.

This Licence shall be governed and construed in accordance with the laws of the United Kingdom and shall benefit ElCel Technology Limited, its successors and assigns. This agreement shall be considered as a contract made in England and according to English Law, subject to the exclusive jurisdiction of the English Courts.
